These Sponsor Terms & Conditions ("Terms") govern the sponsorship relationship between Inspire, Guide & Nurture LLC ("Organizer," "we," "us") and the sponsoring company or individual named on the associated invoice ("Sponsor," "you"). By paying the sponsorship invoice, you agree to these Terms.
1. Sponsorship package and fees. Your sponsorship tier, benefits, and fee are those stated on your invoice. The benefits included with each tier (for example: virtual exhibit-hall listing, resource-guide placement, intro video, recorded session, social feature, or dedicated email) are as described on your invoice and/or our sponsor information page. Benefits not listed on your invoice are not included.
2. Payment. Payment is due upon receipt to reserve your sponsorship benefits, and your benefits begin once payment has been received. Your placement is confirmed only once payment is received in full. If payment is not received by the due date on the invoice, we may release your spot to another sponsor.
3. Sponsor deliverables and deadlines. To be featured, you agree to provide the required materials for your tier (which may include a logo, description, link, promotional offer, intro video, session recording, and social handles) by the deadline we communicate to you. We build the summit assets in advance, so materials received after the stated deadline may not be included, in whole or in part, and no refund or credit will be due for benefits missed as a result of late or missing materials.
4. Organizer deliverables. We will provide the benefits associated with your tier in a professional and timely manner, provided you have paid in full and delivered your materials on time. We reserve the right to make reasonable substitutions of equivalent or greater value where necessary.
5. Content, trademarks, and license. You grant us a non-exclusive, royalty-free license to use your name, logo, trademarks, images, videos, and provided materials for the purpose of promoting, producing, and delivering the summit and its recordings, across our website, email, social media, and event platform, before, during, and after the event. You retain ownership of your marks and materials. You represent that you own or have the right to use everything you provide and that it does not infringe any third party's rights.
6. Session recordings (if applicable). If your tier includes a recorded session, sessions are pre-recorded in an interview format and edited by our team. We own the final edited recording and may use, host, replay, and distribute it as part of the summit and its archive, including any paid all-access or replay offering, in perpetuity. You may request a copy of your own segment for your own use.
7. Attendance and results. Any registration or attendance figures we share are good-faith estimates, not guarantees. We do not guarantee any specific number of attendees, leads, sales, clicks, or other results from your sponsorship.
8. Cancellation and refunds. Sponsorship fees become non-refundable once your promotional materials have been published or distributed — including in any summit promotional email, the event platform, the attendee resource guide, or social media. If you cancel before any of your materials have been published or distributed, you may request a refund of your sponsorship fee, less any third-party payment-processing fees already incurred. If we cancel the event entirely (as opposed to postponing or moving it), you will receive a refund or a credit toward a future event, at your choice.
9. Postponement, format changes, and force majeure. The summit is a virtual event. We may adjust the schedule, agenda, platform, or format as needed. We are not liable for failure or delay caused by events beyond our reasonable control (including acts of God, illness, internet or platform outages, or emergencies). In such cases we may reschedule the event, and your sponsorship will carry over to the rescheduled date.
10. Sponsor conduct and compliance. You are responsible for ensuring your materials, offers, and claims are accurate, lawful, and appropriate for a family audience. We may decline or remove any content that we reasonably determine to be inaccurate, misleading, unlawful, off-brand, or inappropriate for our audience, and will work with you on a suitable replacement.
11. Attendee data and privacy. We do not sell, rent, or transfer attendees' personal information to sponsors. Where your tier includes a dedicated email or similar benefit, the communication is sent by us on your behalf; you do not receive the attendee list. Any leads you collect directly (for example, through your own booth link or offer) are subject to your own privacy practices and applicable law.
12. Limitation of liability. To the maximum extent permitted by law, our total liability arising out of or relating to this sponsorship will not exceed the sponsorship fee you paid. We are not liable for any indirect, incidental, special, or consequential damages, including lost profits or lost business.
13. Indemnification. You agree to indemnify and hold harmless Inspire, Guide & Nurture LLC and its owners, staff, and contractors from any claims, damages, or expenses arising out of your materials, your offers, or your breach of these Terms.
14. Independent parties. The parties are independent contractors. Sponsorship does not create a partnership, joint venture, employment, or agency relationship, and does not constitute an endorsement by either party of the other's products or services beyond what is expressly stated in your sponsorship benefits.
15. Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Florida.
16. Entire agreement; changes. These Terms, together with your invoice, are the entire agreement between the parties regarding your sponsorship and supersede any prior discussions. Any changes must be agreed in writing (email is acceptable).
